I believe directory dates get set to the current date/time of copy, physical position of the files on the first disk is not preserved, any non-file data (like deleted files) is not copied-- this could be considered a feature though, and there may be a problem with files that are in use, by the OS or other programs, not getting copied. So, this is not "an exact copy", but it may be "good enough". On the plus side, you don't have to shut down to make a backup, XXCOPY is free compared to the cost of an image copying utility, such as Drive Image or Ghost, and if you start with a blank disk, the resulting backup should be automatically defragged.
